Successful completion of the acquisition of Primorski skladi by OTP banka d.d. and OTP Fund Management Ltd.

Ljubljana, 20.05.2026 – OTP Group has reached another important milestone in Slovenia with the successful closing of the acquisition of Primorski skladi d.o.o., Koper, one of the country’s long-standing investment fund management companies. Following the receipt of all required financial and competition authority approvals, OTP banka d.d. (OTP banka Slovenia) and OTP Fund Management Ltd. have now officially taken ownership of the company, which will from now on operate under the name OTP Skladi d.o.o. By mutual agreement between the parties, the sale price will not be disclosed.
A milestone with clear local relevance for Slovenia
The transaction has a clear local dimension, as it contributes directly to the further development of Slovenia’s capital market and investment culture. It is important to note that the assets under management of the Slovenian investment fund market nearly doubled between 2019 and 2024. By the end of 2024, AUM reached approximately 6 billion euros. By integrating an established domestic fund management company into its Slovenian operations, OTP Group strengthens the role of locally managed investment solutions, expands access to capital market products, and supports the gradual transition from saving to investing among Slovenian households.
With the completion of the transaction, the product portfolio of OTP banka Slovenia will be complemented by locally managed investment funds, while OTP Fund Management – one of the leading fund management companies in Hungary, established more than 30 years ago – further strengthens its regional presence after successful expansions in Bulgaria, Croatia, Ukraine, and Serbia.

The closing of the Primorski skladi acquisition reinforces OTP Group’s long-term commitment to the country – and a strategic investment in Slovenia’s financial infrastructure. It strengthens the local asset management landscape, deepens product diversity, and highlights that the acquisition was carried out jointly by OTP banka Slovenia and OTP Fund Management as long-term institutional partners to the Slovenian economy.

The Slovenian investment fund market has expanded steadily over the past five years, reflecting a maturing investment environment. Although the capital market is still developing, a mature investment culture has already emerged, with increasing demand for higher-yield investment funds – a trend also reflected in the sales performance of OTP Fund Management’s products.

Strengthening OTP banka Slovenia’s offering through the integration of OTP Skladi
With the transaction now closed, OTP banka and OTP Fund Management will begin integrating the former Primorski skladi’s products, operations, and investment expertise into the broader OTP ecosystem. This gradual integration will include the alignment of processes, the introduction of unified service standards, and the phased renaming and rebranding of Primorski skladi to OTP Skladi to reflect its new position within OTP Group.
Throughout this transition, existing clients will continue to receive uninterrupted service and retain access to the Moj pristan app. At the same time, they will benefit from a wider range of investment products, the stability of a leading regional financial institution, expanded advisory support, improved access to OTP banka’s branch network, and the ability to combine banking and investment services under one trusted brand.
